BUSINESS NAME & LOGO - 12/12/2002 22:24:58   
Hello,

I hope someone can set me straight on registering a business name. I have no idea how to go about this, but figure with the vast experience many of you have in the Business arena someone could tell me how to go about this. Also, I have a company logo… What can I do to keep someone form using my design?

Here are some random bits & pieces that may help

Registering a business varies depending on the form of business you' re going to use. Each type of business organization has it' s plusses and minuses.

Here in California, if you operate as a Sole Proprietor using your own name as the business name, you don' t have to do anything. If you want to operate using a fictitious business name you must select the name, do a search to verify it' s not in use, pay a small filing fee to register the dba and publish an announcement in the local paper. I imagine the requirements vary by state.

If you are going to resell anything taxable you also need to get a " resale number" and collect sales tax, and pay the collected tax to the state by filing a sales tax return.

Partnerships are similar but sometimes as people change you may regret being in a partnership structure. LLP' s are an alternative, they are a relatively new business entity and I' m not real familiar with them.

Income from partnerships and proprietorships are included in your own tax returns as income. You have to file schedule C & more. A CPA is recommended.

Corporations and LLC' s are used for larger business organizations. One advantage of Corporations are that they shield you personally from financial liability if the business fails, barring fraud or illegal activity anyway. For example, if your corporation is arranged properly, you do some work someone doesn' t like and they sue for millions, the suit is against the corporation, not you as an owner. However if you do the same thing as a sole proprietor, you are personally liable for any damages.

Corporations are expensive to set up.

LLC is a Limited liability Company, supposed to offer the advantage of being insulated from liability like a corporation and the flexibility of a sole proprietorship. Noticed you are from NC (me too), look at a S corporation - there is a lot of good information at the secretary of states web site http://www.secretary.state.nc.us/corporations/

things must be cheaper in NC

Update: It seems incorporating in California got cheaper a couple years ago when the state dropped the $800 franchise tax. Now our filing fees are $100.00.

You should call your local County/City Department Office and have them direct you to their New Business division. Let them know that you want to reserve a business name and they can provide you with all kinds of information.

As far as the logo, you' ll need to register that as a trademark. They should be able to provide you with this information as well.:)
