I'm considering signing on with a company that manages Google pay per click campaigns. They set up a "proxy" site so they can track all our clicks/conversions/etc. They are in the know, so we won't get in trouble for duplicate content.

but...my hesitation is this: Natural page rank is boosted by incoming links. Even ads on Google pay per click are considered incoming links, and high traffic incoming links for that matter. Every time i have to pause my Google Ad Words, my natural listing slides.

So, I will be giving up my Google adwords incoming link if this company sets up a proxy of our site. After all, it will link to their site which looks like ours, but is not ours.

Do you think this will cause our natural listings to tank?

That is not the case.

Adwords ads are redirects, not direct links - they do not count towards your link popularity. Google has many times stated that running Adwords does not have a direct relationship to your natural ranking. If you have observed a relationship it is likely due to the branding impact running ads can have on the natural search results.

You will not be giving up Adwords incoming links so you should be fine - providing the proxy is always running properly. Reach Local offers a similar service and while they don't perform SEO they also don't hurt sites (so far).
